Blanket lien: A security interest covering substantially all of your business's assets at once — equipment, inventory, receivables, cash, intangibles — rather than one specific item. Usually perfected by filing a UCC-1.
Why it matters
A blanket lien does not just secure this loan. It blocks your next one. When another lender runs a UCC search and finds an existing blanket filing, there is nothing unencumbered left to lend against, and you are negotiating from a much weaker position or being declined outright.
Borrowers routinely accept a blanket lien on a modest loan without realizing they have just pledged the whole business to secure it, foreclosing better financing later.
Where you will meet it
Standard on SBA 7(a) loans, most bank lines of credit, and much online lending. The SBA generally expects lenders to take available collateral, and a blanket filing is the normal mechanism.
It is often entirely reasonable — the issue is rarely that a blanket lien exists, but that nobody told the borrower what it would mean for the next three years.
The practical consequences
- Later borrowing is harder. A second lender takes a junior position or nothing.
- Selling major assets may need consent. The lien travels with assets you might want to sell or trade in.
- Equipment financing gets complicated, because the equipment lender wants a first position on its own asset and your blanket lien already covers it.
- It outlives the loan if nobody files the release. See UCC-3 termination — stale filings are common and they will block you.
What to ask before you sign
- Is this a blanket lien or is it limited to specific collateral?
- Will you carve out equipment so I can finance it separately later?
- Will you subordinate to an equipment lender on that lender's own asset?
- What is your process for filing the UCC-3 when I pay off, and how long does it take?
- Does the lien cover assets I acquire in future, or only what exists today?
